Notice from the Ministry of Civil Affairs on Implementing the State Council's Decision to Cancel the Administrative Approval Items for Registration of Branches and Representative Offices of National Social Organizations
To all national social organizations:
On November 8, 2013, the "Decision of the State Council on Cancelling and Delegating a Batch of Administrative Approval Items" (Guo Fa [2013] No. 44) (hereinafter referred to as the "Decision") cancelled the Ministry of Civil Affairs' administrative approval items for the establishment, change, and cancellation registration of branches and representative offices of national social organizations. To implement the requirements of the "Decision," further promote the reform of the social organization registration management system, effectively transform government functions, further stimulate the vitality of social organizations, and better play their positive role in economic and social development, the following matters are hereby notified.
1. From the date of the "Decision" issuance, our Ministry will no longer accept applications for the establishment, change, or cancellation registration of branches (including special fund management institutions) and representative offices of national social organizations, will no longer reissue registration certificates for the above institutions, and will no longer issue certificates for the engraving of seals for branches and representative offices.
2. National social organizations may independently decide on the establishment, change, and termination of branches and representative offices according to the purposes and business scope stipulated in their own charters. Such decisions should be discussed and approved by the board of directors or the executive council, minutes should be made, and original materials properly preserved.
3. Branches and representative offices of social organizations are components of the social organizations, do not have legal person status, shall not formulate separate charters, and shall carry out activities and develop members within the scope authorized by the social organizations. Legal responsibilities shall be borne by the social organizations that establish these branches or representative offices.
4. Social organizations shall not establish regional branches, nor shall branches or representative offices establish further branches or representative offices.
5. The names of branches and representative offices of social organizations shall not be named after various types of legal entities, nor shall they use words such as "China," "Chinese," "National," or "State" in their names. Activities should be conducted using the standardized full name of the affiliated social organization as a prefix.
6. Social organizations shall establish and improve management systems and effectively strengthen supervision and management of their branches and representative offices. Social organizations shall include the finances and accounts of branches and representative offices under unified management, shall not collect or disguise the collection of management fees, sponsorship fees, etc., in the name of establishing branches or representative offices, and shall not entrust the operation of these institutions to other organizations, ensuring that branches and representative offices act according to law and carry out activities according to their charters.
7. Social organizations shall report the names, persons in charge, addresses, establishment procedures, activities, and other relevant information of their branches and representative offices in their annual work reports to the competent business units and registration management authorities (social organizations with direct registration shall report to the registration management authorities), accept annual inspections, and shall not falsify information. At the same time, the above information shall be promptly disclosed to the public to consciously accept social supervision.
Please promptly report any new situations or problems arising after the cancellation of administrative approval to our Ministry. Our Ministry will coordinate with relevant departments to formulate subsequent service management measures as needed based on work requirements.
